M&A and Special Situations
We regularly assist on acquisitions, disposals, mergers, demergers, contributions, joint ventures and exit negotiations.
We support entrepreneurs, companies, groups and operators in transactions involving SMEs, mid-market companies, industrial combinations and group structures, with a focus on economic and deal structuring, due diligence and implementation of contractual tools (including SPAs, shareholders' agreements, price adjustment and warranty mechanisms).
Where the mandate requires, we cover pre-deal phases, structuring and closing, and coordination with tax and financial advisers, including in transactions widely covered by the trade press and leading industry awards.
Private Equity & Venture Capital
We advise on private equity and venture capital transactions, including equity investments, hybrid instruments and deals alongside financial, industrial and entrepreneurial sponsors.
Our work includes assistance to private equity funds and vehicles, transactions with asset managers and, on the venture side, investments in startups and scale-ups (seed and series rounds), with customary deal structures and governance and investor-protection packages.

Capital Markets & ECM/DCM
We support companies accessing or preparing for the capital markets, including corporate finance instruments and debt and equity transactions.
We assist issuers, investors and organisations in designing and documenting transactions (capital increases, bond issues, minibonds, basket bonds and, where within our remit, aspects relating to financial instruments and tokenisation), aligned with regulatory requirements and group structure.
Restructuring & Insolvency
We advise on debt restructuring and corporate distress, with out-of-court, negotiated and contentious interventions tailored to each mandate and the applicable legal framework.
We act for companies, banks and funds, debtor- and creditor-side, across the tools available under Italian law: negotiated composition, restructuring agreements, restructuring plans with court approval, insolvency proceedings and, more broadly, the out-of-court and negotiated management of over-indebtedness and financial stress.
Tech, Data & IT/Media
Our IT, media, telecoms and digital work spans advisory and commercial contracts for technology projects, data processing and relationships with operators, vendors and platforms.
We assist on transactions in technology-heavy, data-rich and digital business models, including commercial partnerships, licensing, vendor and cloud agreements, integrations in M&A contexts, and the repositioning of intangible assets, platforms and web applications.
Where needed, we align regulatory issues (privacy, data supply chains) with corporate and transactional strategy. Representative mandates include long-term commercial contracts, data partnerships and digital M&A — as reflected in the firm's public work on AdTech, banking and payment ecosystems.

Intellectual Property (IP)
We help companies and entrepreneurs protect, exploit and enforce intangible assets, including in cross-border and high-innovation environments.
Our practice covers advisory and disputes on trade marks, patents, know-how, trade secrets, software, digital content and licensing, with an integrated legal, commercial and technical approach.

Privacy Law
We support companies, digital platforms and regulated operators on personal data governance and GDPR-aligned privacy programmes, integrating governance, technology and contracts.
Our work includes processing assessments, privacy notices, controller–processor arrangements, data processing agreements, internal policies, international transfers, cookies and marketing / analytics tooling.
We also assist with supervisory authority engagement, breach response, impact assessments and coordination with IP, tech and M&A workstreams where data protection is a strategic driver of the transaction.
Litigation & Arbitration
We handle civil, corporate and commercial disputes, ADR, arbitration (including international) and pre-litigation and enforcement phases for Italian and foreign clients.
We provide advice and representation in complex disputes, including corporate and commercial matters, crisis and insolvency-related issues, product-related litigation, and banking and financial litigation, with careful coordination with transactional teams where the case requires it.
We support clients before sole arbitrators and arbitral tribunals, in mediation and other ADR processes, with a focus on protecting clients' economic and proprietary interests in high-stakes or reputation-sensitive proceedings.
Administrative, Environmental & Real Estate
We advise in synergy on administrative, environmental and real estate law, covering permitting, litigation and project development, including highly regulated and energy-intensive segments.
Our work includes regulatory, planning, permitting and environmental advice and disputes, as well as support on real estate and project finance transactions involving public authorities, operators, funds and asset managers, integrated with the firm's corporate and tax practices where the same deal requires it.
